These Terms of Service govern your access to and use of Ekkoe. By creating an account or using the platform, you agree to them. Please read the customs-responsibility, disclaimer, and limitation-of-liability sections carefully — they define who is legally responsible for classifications and filings.
1. Who we are
Ekkoe (“Ekkoe,” “we,” “us”) provides the Ekkoe platform. These terms form a binding agreement between you (and, if you use Ekkoe on behalf of a company, that company) and us.
2. What Ekkoe is
Ekkoe is decision-support software for customs and trade compliance. It researches and proposes HTS classifications, estimates duty, flags trade-remedy programs, drafts entry paperwork (such as CBP 7501 and 3461 drafts), and monitors trade-policy changes. Outputs are drafts and simulations to assist a qualified professional — not final determinations.
3. Ekkoe is not a customs broker and does not file with CBP
This is the most important term. Ekkoe is NOT a licensed customs broker, is NOT an ABI-certified filer, and does NOT transmit entries to U.S. Customs and Border Protection. Only a licensed customs broker may transact customs business (19 CFR Part 111). You are responsible for having a licensed customs broker review every classification and filing decision, and for filing through your own certified system. The importer of record and its broker remain legally responsible for the accuracy of all entries and for exercising reasonable care (19 U.S.C. § 1484). Ekkoe’s recommendations are decision support, and are not legal, customs, or filing advice.
4. Eligibility and accounts
You must be at least 18 and authorized to accept these terms on behalf of your organization. You are responsible for the security of your credentials and for all activity under your account. Each organization’s data is access-controlled and isolated; you must configure roles appropriately and only grant access to authorized personnel.
5. Acceptable use
Your use must comply with our Acceptable Use Policy and all applicable laws, including export, sanctions, and customs regulations. Among other things, you may not use Ekkoe to file or attempt to file with CBP without licensed-broker review, to evade duties, sanctions, or AD/CVD obligations, to upload data you lack the rights to use, or to reverse-engineer, overload, or circumvent the platform’s security or usage limits.
6. Your data and content
You retain ownership of the trade data, documents, and other content you submit (“Your Content”). You grant Ekkoe a limited license to host, process, and transmit Your Content solely to provide and improve the service, including sending relevant content to the third-party AI providers described in our Privacy Policy. You represent that you have the rights to submit Your Content.
7. Intellectual property
Ekkoe, including its software, models, prompts, and interfaces, is owned by us and our licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the platform during your subscription. You may not copy, resell, or create derivative works of the platform.
8. Third-party services
Ekkoe relies on third-party providers for AI processing, hosting, and data storage (see the Privacy Policy for the current list). Ekkoe also surfaces information from public government sources (e.g., USITC, USTR, CBP, OFAC, the Federal Register). We do not warrant third-party or government data, and your use of any linked third-party service is subject to that provider’s terms.
9. Fees
Paid plans are billed as described at the point of purchase or in your order. Fees are non-refundable except as required by law, and we may change pricing on prospective notice. Any free tier is provided as-is and may change.
10. Disclaimers
EKKOE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Classifications, duty figures, and compliance flags are estimates that require review by a qualified, licensed professional. We do not warrant that any output is accurate, complete, current, or that any entry will be accepted by CBP or found compliant. You should not rely on Ekkoe as your sole basis for any filing or legal position.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EKKOE AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DUTIES, PENALTIES, OR DATA, ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE TOTAL FEES YOU PAID TO EKKOE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to indemnify and hold Ekkoe harmless from claims, losses, and expenses arising out of Your Content, your use of the platform, any filing or customs position you take, or your breach of these terms or applicable law.
13. Term and termination
These terms apply while you use Ekkoe. Either party may terminate as described in your plan. We may suspend or terminate access for breach or to protect the platform. On termination, your right to use Ekkoe ends; data handling on termination is described in the Privacy Policy.
14. Governing law and disputes
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. You and Ekkoe submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of or relating to these terms or the platform.
